FleetCardManage provides fleet card management solutions, expense tracking, and related services for transportation companies. Our services include, but are not limited to:

• Digital fleet card issuance and management
• Expense tracking and reporting
• Fuel optimization analytics

• Integration with accounting and fleet management systems

3. User Accounts

To access certain features of our services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for:

• Maintaining the confidentiality of your account and password
• Restricting access to your computer or device
• Accepting responsibility for all activities that occur under your account

4. Payment Terms

By selecting a subscription plan or making a purchase:

• You agree to pay the fees associated with your selected plan or purchase
• You authorize us to charge your designated payment method for these fees
• You agree that fees are non-refundable except as expressly set forth in our refund policy
• You acknowledge that we may change our pricing structure at any time with notice to you

For subscription services, your subscription will automatically renew at the end of each billing period unless you cancel it prior to the renewal date.

5. Intellectual Property

The FleetCardManage website, services, and all content and materials included on the site, including without limitation, text, graphics, logos, images, and software, are the property of FleetCardManage or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not:

• Modify, reproduce, or distribute any content from our website without our prior written consent
• Use our trademarks, service marks, or logos without our express written permission
• Reverse engineer, decompile, or disassemble any software included in our services

6. User Content

By submitting content to our website or services, you grant FleetCardManage a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in any media. You represent and warrant that you own or have the necessary rights to the content you submit and that the content does not infringe upon any third party's rights.

7. Prohibited Uses

You agree not to use our services for any purpose that is unlawful or prohibited by these terms. Prohibited uses include, but are not limited to:

• Using the services for any illegal purpose or in violation of any local, state, national, or international law
• Harassing, threatening, or intimidating other users
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity
• Interfering with or disrupting the services or servers or networks connected to the services
• Attempting to gain unauthorized access to any portion of the services or any other accounts, computer systems, or networks connected to the services

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall FleetCardManage, its affiliates, officers, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, the services.

Our liability is limited to the maximum extent permitted by law and shall not exceed the amount paid by you, if any, for accessing our services during the three months preceding your claim.

9. Disclaimer of Warranties

The services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The services will meet your specific requirements
• The services will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of the services will be accurate or reliable
• The quality of any products, services, information, or other material purchased or obtained by you through the services will meet your expectations

10. Indemnification

You agree to indemnify, defend, and hold harmless FleetCardManage, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

• Your use or misuse of our services
• Your violation of these Terms of Service
• Your violation of any rights of another person or entity
• Your content submitted to our services

11. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service.

Upon termination, your right to use the services will immediately cease. If you wish to terminate your account, you may simply discontinue using the services or contact us to request account deletion.

12. Changes to Terms

We reserve the right to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising under or relating to these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York.
